Covering capital markets in the legal department for Credit Agricole (China) Limited, including:
Debt Capital Markets (bond issues, MTN programmes and securitisation) with responsibility for transaction management from initial deal mandate to appointment of external counsel, appointment of trustee and agents, structuring (including security issues), financial and business due diligence and closing
Experience in derivative products, ISDA and transaction confirmations
Experience in hedging co-ordination for project and loan financings
Structuring and drafting documentation relating to structured securities issuance under the bank’s EMTN, Certificates and Warrants Programmes
Responsibility for drafting of self-issued vanilla and structured notes, traded out of Asia (private placements, listed notes and public issuances
Liaising with London / Paris Legal to ensure best practices consistency and continuity of standards across the bank
Working closely with Hong Kong Capital Markets Legal team and the Front Office structuring and sales teams to ensure efficiency of production of Legal documentation
Dealing with ad-hoc queries from clients
Maintaining awareness of market changes and regulation, and the potential legal impact
Involvement in projects regarding automation of the production of legal documents and new business initiatives.
Providing support to the Head of Capital Markets Legal Asia Pacific, as well as other Capital Markets lawyers on the Paris-London Legal Platform.
Management of retail distribution matters including negotiation of Distribution Agreements with private banks, asset managers and other distributors of CACIB issued securities, and maintenance and updates of the Distribution Agreement templates and procedures.
Derivatives/Repo advisory and transactional work including general structuring of complex derivatives and repurchase/securities lending transactions.
Providing general capital markets legal assistance.
Senior capital markets lawyer with experience of derivatives, debt capital markets and debt securities linked to credit, interest rates, FX and equities, including indices.
The position will be based in Shanghai and report to the Head of Capital Markets Legal Asia Pacific in Hong Kong.
The successful candidate will be responsible for, amongst other matters, derivatives and repo/securities lending related queries.
